The corporate law team provides advice in the following areas:

• establishing companies and other legal entities (drafting articles of associations and statutes, representing clients before registry courts)
• developing and implementing corporate governance procedures
• drafting intra-company regulations (regulations for management board meetings, shareholders meetings, supervisory board meetings)
• restructurings, including liquidations, transformations, mergers and demergers of commercial companies
• changes in share capital (share capital increases and decreases, in-kind contributions, etc.)
• relationships between a company and its shareholders (additional payments, shareholder loans, personal control, share disposals)
• corporate accounting law (maintaining reserve capitals and funds, distribution of dividends, accounting aspects of share issues and share redemptions)
